Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Entivia Intelligence Engine platform, websites, APIs, and related services (collectively, the "Services") offered by Entivia ("we," "us," or "our"). By creating an account, accessing the dashboard, using our APIs, or deploying a self-hosted instance, you agree to these Terms.
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
1. Definitions
- Entivia or Entivia Intelligence Engine — The real-time intelligence platform that connects to your data sources, profiles behavior, scores risk, and surfaces recommendations.
- Entivia Cloud — The hosted software-as-a-service offering operated by us at our infrastructure.
- Self-hosted — A deployment of the Entivia software that you install and operate on your own servers, VPC, or private cloud.
- Customer Data — Data you or your users submit to the Services, including connection credentials, configuration, queries, dashboards, and outputs derived from your connected systems.
- Connected Systems — Databases, warehouses, files, and other data sources you authorize Entivia to access using credentials you provide.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract. You are responsible for all activity under your account and for maintaining the confidentiality of passwords and API keys.
Organization accounts may invite team members. You are responsible for permissions you grant and for revoking access when no longer needed. You must provide accurate registration information and keep it current.
3. License to use the Services
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.
For Entivia Cloud, this license covers use of our hosted environment. For self-hosted deployments, use is subject to your license tier (including any valid Entivia self-hosted license key for Pro features). You may not sublicense, resell, or make the Services available to third parties as a managed service without our prior written consent.
You retain all rights in your Customer Data. We do not claim ownership of data in your Connected Systems.
4. Customer Data and connections
You control which Connected Systems you attach and what credentials you provide. We process Customer Data only to provide, secure, maintain, and improve the Services, as described in our Privacy Policy and Security pages.
You represent that you have all rights and lawful bases necessary to connect each data source and to allow Entivia to process data from it, including any personal data subject to applicable privacy laws.
We do not sell Customer Data. We do not use Customer Data from your Connected Systems to train generalized models for unrelated third parties.
5. Acceptable use
You agree not to:
- Use the Services in violation of applicable law or third-party rights.
- Attempt to access another customer's tenant, data, or accounts.
- Probe, scan, or test vulnerabilities of the Services except through our coordinated disclosure process (see Security).
- Interfere with or disrupt the integrity or performance of the Services.
- Upload malware or use the Services to distribute spam or unlawful content.
- Reverse engineer the Services except to the limited extent expressly permitted by applicable law.
We may suspend or terminate access if we reasonably believe you have violated these Terms or pose a security risk.
6. Plans, billing, and refunds
Entivia Cloud offers Free and Pro plans as described on our pricing page. Paid subscriptions renew according to the billing cycle you select until cancelled. Fees are non-refundable except where required by law or explicitly stated at purchase.
Self-hosted Pro features may require a license key purchased at self-hosted pricing. License terms, including duration and seat or deployment limits, are stated at checkout.
You are responsible for applicable taxes. We may change pricing with reasonable notice for future billing periods.
7. Third-party services
The Services may integrate with third parties you choose, including:
- Large language model providers (e.g., Anthropic, Groq) for AI pipeline and Studio features.
- OAuth identity providers for sign-in.
- Payment processors for subscriptions and licenses.
- Data sources and cloud providers you configure.
Your use of third-party services is subject to their terms. We are not responsible for third-party products or outages outside our control.
8. Intellectual property
The Services, including software, documentation, branding, and visual design, are owned by us or our licensors and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks except as needed to describe your lawful use of Entivia.
Feedback you provide may be used by us without restriction or compensation to improve the Services.
9. Confidentiality and security
Each party may receive confidential information from the other. You agree to protect our confidential information with reasonable care. We implement safeguards described on our Security page and in documentation.
You are responsible for securing credentials to Connected Systems, network access to self-hosted deployments, and API keys issued in your organization.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or that recommendations or analytics will meet your business outcomes. You are solely responsible for decisions made using outputs from the Services.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100) IF YOU USE A FREE TIER.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
12. Indemnification
You will defend and indemnify us against claims arising from your Customer Data, your Connected Systems, your violation of these Terms, or your violation of applicable law, except to the extent caused by our gross negligence or willful misconduct.
13. Term and termination
You may stop using the Services at any time. We may suspend or terminate your access for material breach, non-payment, or legal requirement, with notice where practicable.
Upon termination, your right to access the Services ends. Provisions that by nature should survive (including confidentiality, disclaimers, limitation of liability, and governing law) will survive.
For Entivia Cloud, you may export data available through the dashboard before closure where the product supports it. For self-hosted, you retain data in your own infrastructure.
14. Changes to these Terms
We may update these Terms from time to time. We will post the revised version with an updated "Last updated" date and, for material changes to Entivia Cloud, provide notice through the dashboard or email where appropriate. Continued use after the effective date constitutes acceptance.
15. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Courts in Lagos State, Nigeria shall have exclusive jurisdiction over disputes arising from these Terms, subject to any mandatory consumer protections in your jurisdiction.
